RelayProof Terms of Service

Effective Date: August 21, 2026

These Terms of Service ("Terms") govern your access to and use of RelayProof, operated by mainLoop LLC, doing business as RelayProof ("RelayProof," "we," "us," or "our").

By selecting "Agree & Continue," starting a free trial, purchasing a subscription, or otherwise accessing or using RelayProof, you agree to these Terms and acknowledge the RelayProof Privacy Policy.

If you do not agree to these Terms, do not use RelayProof. Questions regarding these Terms may be sent to support@relayproof.app.

1. What RelayProof Is

RelayProof is an independent software service designed primarily for commercial truck drivers and other authorized trucking users.

RelayProof may provide features including live load alerts, load-related information, loadboard views, market information, historical load information, load verification, screenshot and document analysis, deadhead and mileage estimates, toll estimates, route-related information, Post A Truck guidance, automated recommendations, market and facility intelligence, bookkeeping tools, alerts and reports, and other trucking-related software features.

RelayProof is an evolving service. Features may be added, modified, limited, or removed over time.

RelayProof is not a freight broker, motor carrier, dispatcher, transportation provider, insurance provider, law firm, accounting firm, financial adviser, or tax adviser.

RelayProof is independent and is not affiliated with, sponsored by, endorsed by, or operated by Amazon, Amazon Relay, or any loadboard provider.

2. Informational and Decision-Support Service

RelayProof provides informational and decision-support tools only. Information provided through RelayProof may be incomplete, delayed, inaccurate, outdated, unavailable, changed after it is displayed, or affected by circumstances outside RelayProof's control.

RelayProof does not guarantee that any load is available, bookable, profitable, accurate, complete, timely, appropriate for your equipment, appropriate for your operation, or still available when you attempt to book it.

Load information may change quickly. Loads may be booked, repriced, modified, removed, delayed, expired, hidden, or otherwise become unavailable before you act on information displayed through RelayProof.

3. You Must Independently Verify Load Information

RelayProof is a decision-support tool only. Before booking, accepting, dispatching, or operating any load, you must independently verify all material load information through the appropriate official source or with the responsible party.

Do not rely on RelayProof as the sole source for load availability, compensation, rate per mile or RPM, mileage, deadhead, pickup time, delivery time, stops, equipment requirements, trailer requirements, container requirements, bobtail requirements, live-load or live-unload requirements, driver requirements, tolls, weight, facility requirements, carrier requirements, compliance requirements, booking conditions, or any other official load terms.

You remain solely responsible for deciding whether to accept a load, reject a load, book a load, dispatch a load, operate a load, or rely on any information displayed by RelayProof.

RelayProof does not guarantee that acting on an alert, estimate, score, recommendation, historical pattern, suggested rate, suggested timing, or other information will produce any particular result.

4. Eligibility

You must be at least 18 years old and legally capable of entering into a binding agreement to use RelayProof.

RelayProof is intended primarily for commercial and business use by people involved in trucking or freight operations. RelayProof currently supports designated markets within the United States. We may restrict or deny access from unsupported locations.

5. Telegram and Other Third-Party Platforms

Certain RelayProof features may be accessed through Telegram or other third-party platforms. Your use of those platforms is also subject to their own terms, policies, and technical limitations.

RelayProof is not responsible for third-party outages, service interruptions, account restrictions, account suspensions, message delays, technical limitations, platform changes, service changes, or account actions.

RelayProof access issued to you is intended for your authorized use. You may not transfer, resell, publish, distribute, or share RelayProof access with unauthorized users.

6. Location-Based Features

Certain RelayProof features require you to intentionally share a live truck location. RelayProof does not independently or secretly begin tracking your location. You choose when to begin sharing live location.

After RelayProof confirms that your location has been updated, you may stop live-location sharing through the applicable platform.

RelayProof may use location information to identify loads and facilities near your truck, calculate deadhead and distance, provide market information, provide location-based alerts, provide Post A Truck and related market intelligence, provide location-relevant recommendations, confirm use within supported U.S. service areas, prevent fraud or abuse, detect fake or misleading location use, prevent unauthorized access or misuse, and protect the security and reliability of the Service.

You may not intentionally submit false locations, spoofed locations, misleading locations, unrelated locations, or manipulated location information for the purpose of bypassing restrictions, abusing the Service, obtaining unauthorized access, obtaining improper trial access, or interfering with RelayProof.

We may restrict, suspend, or terminate access where we reasonably believe location-based features are being abused.

7. Free Trials

RelayProof may offer eligible users a free trial. RelayProof's free trial does not require payment-card information. The free trial does not automatically convert into a paid subscription.

After a free trial ends, you must separately choose a paid subscription and authorize payment before paid access begins. Trial eligibility may be limited.

You may not create or use multiple accounts, identities, devices, or other methods for the purpose of repeatedly obtaining a free trial or promotional benefit intended to be available only once.

RelayProof may modify, suspend, or discontinue free-trial offers for future users at any time.

8. Paid Subscriptions

After a free trial or at another time, you may choose to purchase a paid subscription. Before you authorize a purchase, RelayProof will display the material terms applicable to that subscription, including the applicable price, billing frequency, renewal terms, and material plan conditions.

Subscription prices and available plans may change from time to time. The current subscription price does not need to remain permanently fixed and is therefore not stated in these Terms. Any applicable price and billing terms will be presented before you authorize the purchase.

9. Payments

Payments are processed through an independent third-party payment processor. RelayProof does not store full payment-card information.

RelayProof may receive limited transaction information necessary to determine matters such as whether payment succeeded, whether payment failed, subscription status, renewal status, cancellation status, refund status, and transaction identification.

You are responsible for providing valid payment information to the applicable payment processor. Applicable taxes may be collected where required by law.

10. Automatic Renewal

If you purchase an automatically renewing subscription, your subscription will renew for successive billing periods until canceled.

Before purchasing an automatically renewing subscription, the applicable subscription price, billing frequency, and renewal terms will be disclosed to you.

By purchasing an automatically renewing subscription, you authorize the applicable payment processor to charge your selected payment method according to the billing and renewal terms presented before purchase.

11. Cancellation

You may cancel an automatically renewing paid subscription using the cancellation method made available by RelayProof. Cancellation stops future renewal charges.

Cancellation does not retroactively cancel an already-started billing period. Unless applicable law requires otherwise, cancellation does not automatically entitle you to a refund for an already-paid billing period.

If you cancel before the end of an already-paid billing period, you may continue using paid access through the remainder of that period. After the paid period ends, your subscription will not renew.

12. Refunds

Because eligible users may receive a free trial before deciding whether to purchase paid access, subscription payments are generally non-refundable once a paid billing period has started.

RelayProof does not provide prorated refunds or credits merely because you cancel before the end of an already-paid billing period. For example, canceling a subscription during a paid billing period stops the next renewal but does not normally result in a refund for the unused portion of the current period.

Refunds will be provided where required by applicable law. RelayProof may also, in its discretion, correct a billing error, reverse an incorrect charge, or issue a refund or credit in exceptional circumstances.

A discretionary refund or credit does not create an obligation to provide the same treatment in another case. If you believe you were charged incorrectly, contact support@relayproof.app.

13. Failed Payments and Chargebacks

If a payment fails, is reversed, or cannot be completed, RelayProof may suspend or limit paid access until the payment issue is resolved.

If you believe a RelayProof charge is incorrect, we encourage you to contact support@relayproof.app so that we can investigate the issue.

RelayProof reserves the right to suspend paid access associated with a disputed or reversed payment while the payment dispute is being resolved. Nothing in this section limits any rights you may have under applicable payment-card or consumer-protection law.

14. User-Submitted Content

RelayProof may allow you to voluntarily submit text, screenshots, photographs, documents, load information, route information, feedback, receipts, bookkeeping information, and other content.

You represent that you have the right to submit the content you provide. You grant mainLoop LLC a limited, non-exclusive license to process and use submitted content as reasonably necessary to provide the feature you requested, operate RelayProof, secure RelayProof, provide support, investigate misuse, maintain the Service, and improve the Service.

You should not submit sensitive personal information unless reasonably necessary for the feature you are using. The handling of personal information is further described in the RelayProof Privacy Policy.

15. Prohibited Use

You agree not to use RelayProof for unlawful, fraudulent, harmful, or abusive purposes; share paid access with unauthorized users; sell or rent access to RelayProof; sublicense RelayProof without authorization; commercially redistribute RelayProof access without authorization; commercially redistribute RelayProof-provided data without authorization; systematically scrape, harvest, extract, or reproduce RelayProof content except through expressly authorized features; circumvent subscription restrictions; circumvent access restrictions; circumvent usage limits; circumvent security protections; submit fake or spoofed location information to bypass restrictions; attempt unauthorized access to another user's account; attempt unauthorized access to RelayProof systems or data; introduce malware or other harmful code; intentionally interfere with RelayProof's operation, security, or availability; reverse engineer protected non-public components except where applicable law expressly permits such activity; attempt to obtain non-public source code without authorization; use RelayProof in a manner that violates applicable law; or use RelayProof in a manner that violates third-party rights.

We may impose reasonable technical or usage limits intended to prevent abuse and maintain reliable operation of RelayProof.

16. Intellectual Property

RelayProof and its associated software, interfaces, branding, graphics, content, features, technology, design, documentation, and other protected materials are owned by mainLoop LLC or its licensors and are protected by applicable intellectual-property laws.

"RelayProof," its logos, branding, and associated identifiers may be protected trademarks or service marks.

These Terms provide only a limited, revocable, non-exclusive, non-transferable right to use RelayProof for authorized purposes. No ownership interest in RelayProof or its intellectual property is transferred to you.

Except where expressly permitted, you may not copy, reproduce, modify, distribute, sell, sublicense, or commercially exploit protected RelayProof materials.

17. Automated Recommendations, Scores, and Estimates

RelayProof may provide automated or data-based recommendations, alerts, scores, rankings, estimates, historical patterns, market information, suggested rates, suggested timing, Post A Truck guidance, and other decision-support information.

These outputs are informational only. RelayProof does not guarantee that a recommended load will remain available, that a suggested rate can be obtained, that historical patterns will repeat, that a suggested posting time will result in a load, that an estimated toll is exact, that an estimated distance or mileage is exact, that an RPM calculation will remain applicable, that an alert will arrive before another user books a load, that a recommendation will increase revenue, that a recommendation will increase profit, or that following any RelayProof recommendation will produce a particular result.

You are responsible for evaluating all information and making your own business decisions.

18. Route Information, Navigation, and Safety

RelayProof may display mileage, route-related context, deadhead, toll estimates, route links, and links to independent navigation providers.

RelayProof does not provide turn-by-turn commercial truck navigation and is not a substitute for a commercial truck-navigation service. RelayProof route information is supplemental only.

Drivers remain responsible for official road signs, commercial-routing restrictions, bridge clearances, truck-restricted roads, vehicle height, vehicle weight, vehicle length, vehicle dimensions, road conditions, weather conditions, hours-of-service requirements, facility requirements, transportation regulations, and safe vehicle operation.

Any independent mapping or navigation provider used by the driver operates separately from RelayProof and is subject to its own terms, data, routing decisions, and limitations. Never interact with RelayProof in a manner that distracts you while driving.

19. No Financial or Business Guarantee

RelayProof does not guarantee minimum revenue, minimum profit, a particular rate per mile, availability of work, successful load booking, increased carrier performance, increased business performance, or any particular financial outcome.

Historical results do not guarantee future results. Any business or operational decision remains your responsibility.

20. Service Availability

RelayProof is an evolving technology service. We may add features, remove features, modify functionality, change limits, perform maintenance, temporarily disable features, change access requirements, discontinue portions of the Service, or modify experimental or beta functionality.

RelayProof does not guarantee uninterrupted, continuous, real-time, secure, or error-free availability. Service interruptions may occur. Beta, experimental, or newly introduced features may contain errors or change without notice.

21. Suspension and Termination

RelayProof may restrict, suspend, or terminate your access where we reasonably believe you violated these Terms; your account is being shared without authorization; access is being resold; a free trial is being abused; false or spoofed information is being used to bypass restrictions; payment failed or was reversed; your use creates a security risk; your use creates an operational risk; your use violates applicable law; your use harms RelayProof or other users; or continued access is otherwise unauthorized.

You may stop using RelayProof at any time. Paid subscription cancellation is governed by Sections 8 through 13 of these Terms.

22. Disclaimer of Warranties

To the maximum extent permitted by applicable law, RelayProof is provided "as is" and "as available." mainLoop LLC disclaims all warranties, express or implied, to the extent such warranties may lawfully be disclaimed, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness, availability, and reliability.

RelayProof does not warrant that the Service will always be available, uninterrupted, error-free, current, accurate, or complete; that all alerts will be delivered; that a load will remain available; that an estimate will match actual results; or that a recommendation will produce a particular outcome.

Some jurisdictions do not permit certain warranty exclusions, so some of these provisions may not apply to you.

23. Limitation of Liability

To the maximum extent permitted by applicable law, mainLoop LLC, RelayProof, and their owners, officers, employees, contractors, and agents will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising out of or relating to RelayProof or your use of the Service.

To the maximum extent permitted by law, this includes losses arising from missed loads, unavailable loads, lost revenue, lost profits, lost business opportunities, business interruption, inaccurate information, delayed information, delayed alerts, missed alerts, changes in load price, changes in load availability, mileage differences, deadhead differences, toll differences, routing differences, carrier-score consequences, compliance consequences, third-party service failures, data loss, and reliance on automated recommendations or estimates.

To the maximum extent permitted by applicable law, mainLoop LLC's total aggregate liability arising out of or relating to RelayProof will not exceed the greater of the total amount you paid to RelayProof during the three (3) months immediately before the event giving rise to the claim or $100.

This does not mean RelayProof automatically owes $100. It establishes a maximum liability amount where this limitation is legally enforceable. Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.

24. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless mainLoop LLC and its owners, officers, employees, contractors, and agents from third-party claims, liabilities, damages, and reasonable expenses arising from your unlawful use of RelayProof, content you submit, your material violation of these Terms, your infringement of another person's rights, or your violation of applicable law.

This provision does not require you to indemnify RelayProof for conduct for which indemnification cannot lawfully be required.

25. Privacy

Your use of RelayProof is also subject to the RelayProof Privacy Policy. The Privacy Policy explains how RelayProof handles information, including Telegram-related identifiers, voluntarily shared live location, location retention, subscription information, user-submitted information, and security and abuse-prevention information.

26. Changes to These Terms

We may update these Terms from time to time. When these Terms are updated, the effective date at the top will be revised.

If a change is material, RelayProof may provide notice through the RelayProof Service, Telegram, the RelayProof website, or another reasonable method.

Where appropriate, RelayProof may require you to accept updated Terms before continuing to use the Service.

27. Severability

If any provision of these Terms is found unlawful, invalid, or unenforceable, the remaining provisions will remain effective to the fullest extent permitted by law.

28. No Waiver

If RelayProof does not immediately enforce a provision of these Terms, that does not waive our right to enforce that provision later. A waiver of one violation does not constitute a waiver of another violation.

29. Assignment

You may not assign or transfer your rights or obligations under these Terms without prior written authorization from mainLoop LLC.

mainLoop LLC may assign these Terms in connection with a merger, acquisition, restructuring, sale of assets, financing, or transfer of the RelayProof business.

30. Entire Agreement

These Terms, together with the RelayProof Privacy Policy and any additional terms expressly presented for a particular subscription, promotion, or feature, constitute the agreement between you and mainLoop LLC concerning your use of RelayProof.
